Terms of Service

Last updated: October 25, 2026

PLEASE READ THESE TERMS CAREFULLY. YOUR ACCESS TO AND USE OF THE SERVICES (DEFINED BELOW) ARE SUBJECT TO THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THEM, YOU MAY NOT ACCESS OR USE THE SERVICES.

THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS-ACTION AND JURY-TRIAL WAIVER (SEE "DISPUTE RESOLUTION"). THIS AFFECTS HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED THERE.

1. Who we are and what this is

Welcome to WellAhead. WellAhead is a proactive money savings and budgeting coach: an application that connects to your financial accounts, helps you understand and budget your spending, holds a savings plan you set, and proactively sends you helpful notifications and insights so you can stay ahead of your money.

These Terms of Service (the "Terms") are a binding contract between you and CleverMind AI LLC ("WellAhead," "we," "us," or "our"), the company that provides the WellAhead website(s), mobile applications, and related products and services (together, the "Services"). By creating an account, or by accessing or using the Services in any way, you agree to these Terms. If you are using the Services on behalf of another person, you represent that you are authorized to bind them, and "you" refers to both you and them.

These Terms incorporate our Privacy Policy, which describes how we collect, use, and protect your information. If there is a conflict between these Terms and a separate written agreement you have signed with us, the separate agreement controls.

2. Changes to these Terms

We are continually improving the Services, so these Terms may change over time. If we make a material change, we will let you know by posting a notice at wellahead.io, by sending you an email or in-app notice, or by other reasonable means before the change takes effect. If you keep using the Services after a change becomes effective, you are agreeing to the updated Terms. If you do not agree, you must stop using the Services and may close your account. Except for changes we make this way, no change to these Terms is effective unless it is in writing and agreed to by both you and us.

3. Your privacy

Your privacy matters to us, and protecting your financial data is central to how WellAhead is built. Our Privacy Policy explains what we collect, how we use it, how we secure it, how long we keep it, and the choices you have. Please read it. By using the Services, you also agree to our Privacy Policy.

In particular, and as described more fully in the Privacy Policy, we are designed to minimize the personal information exposed to third parties. When our features use artificial intelligence, we de-identify data before it is sent to any third-party model provider: we never send your name, account numbers, or contact details as identifying fields. Because transaction descriptions come from your bank and can occasionally contain names (for example, a peer-to-peer transfer such as a Zelle or Venmo payment), we scrub common name patterns from those descriptions on a best-effort basis before any third-party AI processing, and we work only with providers that are contractually prohibited from using the data to train their models. Our Privacy Policy describes the mechanics and the limits of this de-identification. Nothing in these Terms grants us rights to your data beyond what the Privacy Policy describes.

4. Eligibility and age

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for personal, individual use.

We do not knowingly collect personal information from anyone under 18. If you are under 18, please do not register for the Services or send us any personal information. If we learn that we have collected personal information from a person under 18, we will delete it as quickly as reasonably possible. If you believe a minor has provided us information, contact us at support@wellahead.io.

5. Your account

To use most features you must create an account. You agree to provide accurate, complete, and current information when you register, and to keep it up to date.

Your account is for you alone. You may not transfer or share your account, and you may not let anyone else access the Services through it. You sign in using your mobile phone number and a one-time passcode we text to you, or by using Sign in with Apple. You are responsible for keeping your account secure, including protecting access to whichever sign-in method you use (your phone number and any one-time passcodes, or your Apple ID), and for all activity that occurs under your account. Notify us promptly at support@wellahead.io if you suspect any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your account that results from your failure to keep it secure.

You represent that you are providing information only about your own accounts, assets, liabilities, and finances, and that you have all rights and authorizations needed to provide any information you (or connected providers acting on your instruction) submit to us.

6. What WellAhead is, and what it is not

WellAhead is a coach and an educational tool. It provides budgeting, spending, cashflow, and savings guidance and information, and it gives you personalized suggestions to help you budget and save. That guidance is provided for general informational and educational purposes.

WellAhead is not a licensed financial professional and does not provide regulated advice. Nothing WellAhead provides, and nothing generated by its AI features, is investment, financial-planning, insurance, tax, accounting, or legal advice, or a recommendation to buy, sell, or hold any security, product, or investment strategy. WellAhead is not your investment adviser, broker, financial planner, accountant, tax adviser, or attorney, and does not act as a fiduciary and owes you no fiduciary duty. You are solely responsible for your own financial decisions. For advice about your specific situation, consult a qualified, appropriately licensed professional.

Unless we specifically say otherwise in writing, you acknowledge and agree that we are not: a "financial institution" (as defined in the Gramm-Leach-Bliley Act, 15 U.S.C. sections 6801 et seq.); a "consumer reporting agency," nor a "furnisher" of information to one (as those terms are used in the Fair Credit Reporting Act, 15 U.S.C. section 1681a); a creditor, credit-repair company, credit counselor, debt consolidator, debt adjuster, or loan servicer; or an investment adviser or broker. The Services are not a "consumer report" or "credit report," and we do not evaluate your eligibility for credit, insurance, employment, housing, government benefits, or any other purpose for which a consumer report may be used, and we do not take "adverse action" against you as defined in the FCRA. If your use of the Services is prohibited by applicable law, you are not authorized to use them, and we are not responsible for your use of the Services in violation of law.

Information may be incomplete or out of date. Account data reaches us through third parties (see Section 7) and may be delayed, incomplete, miscategorized, or unavailable. Balances and transactions shown in the Services may not reflect your most recent activity and are not an official record from your financial institution. Do not rely on the Services for time-sensitive or transactional decisions (for example, whether a payment will clear or whether you will overdraw). Always confirm with your financial institution.

7. Connecting your financial accounts (Plaid)

To use the Services, you can connect your bank and other financial accounts. We provide this connection through Plaid Inc. ("Plaid"). When you connect an account, you authorize us and Plaid to access and retrieve information from your financial institution on your behalf, at your direction, using credentials or authorization you provide.

By connecting an account, you agree to Plaid's End User Privacy Policy (available at plaid.com/legal) and you authorize Plaid to access and transmit your data as described there. You acknowledge that when we and Plaid access and retrieve information from your financial institutions, we and Plaid are acting at your request and with your authorization, and not on behalf of your financial institution or any third-party site. Your financial institutions are not sponsors of, and are not responsible for, the Services.

You may disconnect a linked account or revoke this authorization at any time through the Services or by contacting us. Doing so stops future retrieval; it does not by itself delete information already collected, which is governed by our Privacy Policy.

8. AI-powered features

Some features of the Services use artificial intelligence and machine learning, including features that categorize your transactions, analyze your spending, answer your questions, and generate proactive insights and notifications (together, "AI Features," and the information they generate, "Output").

You understand and agree that:

9. Acceptable use

You agree that you will not, and will not attempt to, and will not help anyone else:

Violating this section is grounds for suspension or termination of your access.

10. Your data and the licenses you grant us

You own your data. As between you and us, you retain ownership of the information and content you provide or that we retrieve on your behalf (your "User Content"). We do not claim ownership of it.

License to run the Services. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and adapt your User Content solely as needed to operate, provide, secure, and improve the Services for you, and as described in our Privacy Policy. This license exists only to let us deliver the Services to you and ends, on a going-forward basis, when your User Content is deleted in the ordinary course as described in the Privacy Policy.

Feedback. If you send us feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

De-identified data. We may create de-identified or aggregated data from information in the Services (data that does not identify you or any individual) and use and share that data for lawful business purposes, including to analyze, secure, and improve the Services. We will not attempt to re-identify de-identified data, and we will not disclose it in a form that identifies you. This is subject to, and does not override, our Privacy Policy or the AI data-minimization commitments described in Section 3.

11. Our intellectual property

The Services, including all software, models, text, graphics, designs, logos, and other content we provide (excluding your User Content), are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your own personal, non-commercial use, subject to these Terms. We reserve all rights not expressly granted. "WellAhead," our logos, and our product names are our trademarks; you may not use them without our prior written permission. You will respect all copyright, trademark, and other notices in the Services.

12. Subscriptions, billing, and cancellation

The Services are currently free to use, and we do not charge you or process any payments today. We expect to introduce paid features in the future. If and when we offer a paid subscription ("Subscription"), the terms in this section will apply to it, and the current price, billing period, and features will be shown at the point of purchase before you are charged.

If we introduce a Subscription, the following will apply:

Purchases through the Apple App Store. If you buy a Subscription through the Apple App Store using in-app purchase, Apple, not WellAhead, processes your payment. Your Subscription is charged to your Apple ID account, and it automatically renews at the then-current price for the same period unless you cancel it at least 24 hours before the end of the current period. You manage and cancel your Subscription, and request refunds, through your Apple account settings, subject to Apple's terms and policies. We do not control and cannot directly issue refunds for App Store purchases.

Purchases made directly from us. If you buy a Subscription directly from us (for example, on our website), the following apply:

We may change our prices and plans on a going-forward basis with notice as described above. If any charge is declined or reversed, we may suspend your access to paid features.

13. Changes to, and availability of, the Services

The Services are evolving, and parts of them may be offered as beta or early-access features that are still in development and may be changed or removed. We may add, change, suspend, or discontinue any part of the Services at any time, and we may set or change limits on features. We will try to give you reasonable notice of a material change that adversely affects you, but this is not always possible. We do not guarantee that the Services will be available, uninterrupted, or error-free.

14. Termination

You may stop using the Services and close your account at any time through your account settings or by contacting us at support@wellahead.io. Our Privacy Policy describes what happens to your information after you close your account.

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, if we are required to by law, if providing the Services to you would create risk or liability for us, or if we discontinue the Services. If we terminate your account other than for cause, we will make reasonable efforts to notify you.

Closing or terminating an account may result in deletion of associated content. Sections that by their nature should survive termination will survive, including Sections 6, 8, 9, 10 (as to already-created de-identified data), 11, 15, 16, 17, 18, and 20, and any accrued payment obligations.

15. Third-party services

The Services may link to or rely on third-party websites, products, and services (including Plaid, your financial institutions, and our payment and infrastructure providers). We do not control and are not responsible for third parties or their content, terms, or privacy practices. Your dealings with third parties are between you and them, and you access them at your own risk. We encourage you to read the terms and privacy policies of any third party you use.

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE.

WE DO NOT WARRANT THAT ANY INFORMATION, INSIGHT, OR OUTPUT IS ACCURATE, COMPLETE, OR RELIABLE, OR THAT IT REFLECTS YOUR CURRENT ACCOUNT ACTIVITY. THE SERVICES AND ALL CONTENT AND OUTPUT ARE FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND ARE NOT PROFESSIONAL ADVICE OF ANY KIND (SEE SECTIONS 6 AND 8). YOU ACCESS AND USE THEM AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR YOUR FINANCIAL DECISIONS. PAST PERFORMANCE OR RESULTS DO NOT GUARANTEE FUTURE RESULTS.

WHILE WE USE REASONABLE AND INDUSTRY-STANDARD MEASURES TO PROTECT YOUR INFORMATION (AS DESCRIBED IN OUR PRIVACY POLICY), NO METHOD OF TRANSMISSION OR STORAGE IS COMPLETELY SECURE, AND WE CANNOT GUARANTEE ABSOLUTE SECURITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) WILL WELLAHEAD OR ITS OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) ANY LOSS OF PROFITS, SAVINGS, GOODWILL, OR DATA, OR ANY FINANCIAL LOSS ARISING FROM YOUR RELIANCE ON THE SERVICES OR ANY OUTPUT; OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS ARE A FUNDAMENTAL PART OF THE AGREEMENT BETWEEN YOU AND US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Indemnification

You agree to indemnify and hold harmless WellAhead and its officers, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) content or information you provide. We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

19. Apple App Store terms

If you download our app from the Apple App Store, the following additional terms apply, and Apple, Inc. ("Apple") is a third-party beneficiary of them with the right to enforce them:

20. Dispute resolution; arbitration; class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution first. Before starting an arbitration, you and we agree to try to resolve the dispute informally. Send a written notice describing the dispute to support@wellahead.io (or, if we need to reach you, to the contact information on your account). If it is not resolved within 60 days, either party may begin arbitration.

Binding arbitration. Except for the carve-outs below, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator, in English, and may proceed in writing, by phone, or in person in Maricopa County, Arizona, as the rules allow. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Class-action and jury-trial waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL.

Carve-outs. Either party may bring an individual claim in small-claims court if it qualifies. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to support@wellahead.io stating that you opt out and including your name and account email. If you opt out, the "Governing law and venue" paragraph below applies to disputes instead of arbitration.

Governing law and venue. These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

21. Export controls and sanctions

You agree to comply with all applicable U.S. export-control and sanctions laws. You represent that you are not located in, and will not use the Services in, any country or territory subject to U.S. embargo, and that you are not on any U.S. Government list of restricted or prohibited parties.

22. General

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Entire agreement; severability; waiver. These Terms (with the Privacy Policy and any terms we reference) are the entire agreement between you and us about the Services and supersede prior agreements on that subject. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest stays in effect. Our failure to enforce any right is not a waiver of it.

Relationship. You and we are independent contractors; these Terms do not create any partnership, agency, or employment relationship. Except as stated in Section 19 (Apple), there are no third-party beneficiaries.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.

Notices. We may give you notice by email, through the Services, or by posting at wellahead.io. You may contact us as set out below.
